1. Algemene bepalingen<\/h4>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t
  1. Skarp Law B.V. is een besloten vennootschap ingeschreven bij de Kamer van Koophandel Amsterdam onder nummer 82669058, die tot doel heeft de uitoefening van de rechtspraktijk, en is gevestigd te Amsterdam. De bij Skarp Law werkzame advocaten staan ingeschreven bij de Nederlandse Orde van Advocaten te Amsterdam.<\/li>
  2. In these general terms and conditions, the following definitions shall apply:
    Skarp Law<\/em>: Skarp Law. B.V.;
    client<\/em>: the person who grants Skarp Law an assignment;
    person associated with Skarp Law: <\/em>any lawyer or other person working at Skarp Law, whether under an employment contract or on any other basis and including persons working on a more flexible basis (flexibele schil<\/em>).<\/li>
  3. Deze algemene voorwaarden zijn van toepassing op elke overeenkomst van opdracht, daaronder begrepen iedere vervolgopdracht, gewijzigde of aanvullende opdracht, tussen een cli\u00ebnt en Skarp Law.<\/li>
  4. Van deze algemene voorwaarden bestaat een Nederlandse en een Engelse versie. Indien de Engelse versie afwijkt van de Nederlandse, dan prevaleert de Nederlandse versie.<\/li>
  5. The stipulations in these general terms and conditions are not only made for the benefit of Skarp Law, but also for the benefit of all partners and directors of Skarp Law, respectively all other persons who work or have worked for Skarp Law (whether or not in employment), respectively all (legal) persons engaged by Skarp Law in the performance of any assignment, including all (legal) persons for whose acts or omissions Skarp Law may be liable. This is an irrevocable third-party clause for no consideration within the meaning of Article 6:253 of the Dutch Civil Code.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
    \n\t\t\t\t
    \n\t\t\t\t\t

    2. Opdracht<\/h4>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
    \n\t\t\t\t
    \n\t\t\t\t\t\t\t\t\t
    1. Een overeenkomst van opdracht tussen een cli\u00ebnt en Skarp Law komt uitsluitend tot stand doordat Skarp Law of een bij Skarp Law werkzame advocaat een opdracht van de cli\u00ebnt tot het verrichten van werkzaamheden aanvaardt.<\/li>
    2. Een opdracht van een cli\u00ebnt aan een aan Skarp Law verbonden persoon leidt niet tot een overeenkomst met die of enige andere aan Skarp Law verbonden persoon. Alle opdrachten worden geacht uitsluitend te zijn verstrekt aan, en aanvaard en uitgevoerd door, Skarp Law. Dit geldt ook indien het de uitdrukkelijke of stilzwijgende bedoeling is dat een opdracht door \u00e9\u00e9n of meer bepaalde personen zal worden uitgevoerd. De toepasselijkheid van artikel 7:404 BW, dat voor het laatstbedoelde geval een regeling geeft, en van artikel 7:407, tweede lid, BW dat een hoofdelijke aansprakelijkheid vestigt voor de gevallen waarin aan twee of meer personen een opdracht wordt gegeven, wordt uitdrukkelijk uitgesloten.<\/li>
    3. If the client wishes that work for the performance of the assignment be performed or continued by a particular person associated with Skarp Law, Skarp Law will comply with that wish to the extent possible, subject to the limits set by its business operations and the wishes of other clients. The applicability of Articles 7:404 and 7:409 of the Dutch Civil Code is excluded.<\/li>
    4. If Skarp Law has accepted an assignment together with another person, legal entity or firm, Skarp Law shall only be liable to fulfil those obligations which are expressly obligations of Skarp Law. The applicability of Article 7:407, sub 2, of the Dutch Civil Code are excluded.<\/li>
    5. Skarp Law executes an assignment only for the benefit of the client. Third parties cannot rely on the result of work performed for the client or the performance thereof, and cannot derive rights from the assignment and any work performed for that. If the client provides the contents of any work Skarp Law performed for them to any third party, the client is required to inform that third party that Skarp Law performed that work subject to these general terms and conditions.<\/li>
    6. The client will provide Skarp Law at their first request with the data that Skarp Law, or third parties or banks engaged by them, require in order to comply with the obligations to establish the identity of client and related persons, including those arising from the Money Laundering and Terrorist Financing Prevention Act (Wet ter voorkoming van witwassen en financieren van terrorisme<\/em>). Under this Act, Skarp Law is obliged to report unusual transactions to the authorities. The client confirms that it is familiar with that obligation and, to the extent required, gives its permission in advance. The client indemnifies Skarp Law and persons associated with Skarp Law, and holds them harmless, from any third-party claim in connection with any wrongly made notification in this context.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
      \n\t\t\t\t
      \n\t\t\t\t\t

      3. Aansprakelijkheid<\/h4>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
      \n\t\t\t\t
      \n\t\t\t\t\t\t\t\t\t
      1. The aggregate liability of Skarp Law and the lawyers working at Skarp Law towards the client, on any legal basis whatsoever, is limited to the amount paid out in a given case under the professional liability insurance taken out by Skarp Law, increased by the applicable deductible. Other liability is excluded.<\/li>
      2. Indien Skarp Law geen aanspraak op een uitkering op grond van voornoemde verzekeringsovereenkomst heeft, zal de aansprakelijkheid beperkt zijn tot maximaal het honorarium dat voor de betreffende opdracht in rekening is gebracht.<\/li>
      3. Onverminderd het bepaalde in artikel 6:89 BW vervalt elke vordering tot schadevergoeding een jaar na de dag waarop cli\u00ebnt bekend is geworden of redelijkerwijs bekend had moeten worden met de (vermeende) schade.<\/li>
      4. The liability of other persons associated with Skarp Law than the lawyers working at Skarp Law towards the client is excluded. This provision is an irrevocable third-party clause for no consideration for the benefit of any person associated with Skarp Law.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
        \n\t\t\t\t
        \n\t\t\t\t\t

        4. Declaraties<\/h4>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
        \n\t\t\t\t
        \n\t\t\t\t\t\t\t\t\t
        1. De cli\u00ebnt is Skarp Law het overeengekomen honorarium verschuldigd. In gevallen waarin geen honorarium is overeengekomen, is cli\u00ebnt een honorarium verschuldigd naar de gebruikelijke tarieven van Skarp Law.<\/li>
        2. De Skarp Law gemaakte kosten zoals reis- en verblijfkosten, griffierechten, koerierskosten, registratiekosten, projectmanagementkosten, etc. en kosten van niet aan Skarp Law verbonden personen en banken zijn, met inbegrip van rente, voor rekening van cli\u00ebnt.<\/li>
        3. The fees and costs payable by the client shall be increased by sales tax in accordance with applicable legislation.<\/li>
        4. Work shall be performed upon payment of an advance, unless otherwise agreed. An advance shall be offset against the balance of the final invoice after completion of the work. If an interim invoice is not paid within 14 days, it may be set off against the advance and work will be suspended until the advance is replenished.<\/li>
        5. In beginsel wordt maandelijks gefactureerd, tenzij anders schriftelijk overeengekomen.<\/li>
        6. Cli\u00ebnt zal elke declaratie van Skarp Law binnen 14 dagen na factuurdatum betalen. Bij gebreke daarvan zal cli\u00ebnt in verzuim verkeren en is hij aansprakelijk voor de kosten, die Skarp Law, zowel in als buiten rechte, maakt ter inning van de vordering. Tevens is cli\u00ebnt over het te betalen bedrag vanaf het moment van ontstaan van de betalingsverplichting de wettelijke rente verschuldigd. In geval een opdracht wordt verstrekt door meerdere personen, is ieder van hen hoofdelijk aansprakelijk voor de kosten die uit hoofde van die opdracht aan Skarp Law verschuldigd zijn.<\/li>
        7. Eventuele bezwaren tegen een declaratie kan de cli\u00ebnt tot 14 dagen na de factuurdatum schriftelijk aan Skarp Law kenbaar maken. Blijven bezwaren achterwege dan geldt de declaratie als aanvaard.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
          \n\t\t\t\t
          \n\t\t\t\t\t

          5. Inschakelen van derden <\/h4>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
          \n\t\t\t\t
          \n\t\t\t\t\t\t\t\t\t
          1. Voor zover voor de uitvoering van de opdracht wenselijk is, kan Skarp Law anderen dan aan Skarp Law verbonden personen, zoals deskundigen, adviseurs, vertalers, deurwaarders etc., inschakelen. Deze opdracht kan Skarp Law geven in eigen naam of als gevolmachtigde namens cli\u00ebnt.<\/li>
          2. De cli\u00ebnt is gebonden aan de algemene voorwaarden die Skarp Law met door hem ingeschakelde derden overeenkomt. Skarp Law is niet aansprakelijk voor schade ontstaan door een handelen of nalaten van door hem ingeschakelde derden.<\/li>
          3. In het geval Skarp Law gelden van een cli\u00ebnt of een derde onder zich houdt, is cli\u00ebnt gebonden aan de voorwaarden van de bank waar de gelden worden gehouden. Skarp Law is niet aansprakelijk voor schade ontstaan door een handelen of nalaten van die bank.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
            \n\t\t\t\t
            \n\t\t\t\t\t

            6. Vertrouwelijkheid en dossiers<\/h4>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
            \n\t\t\t\t
            \n\t\t\t\t\t\t\t\t\t
            1. Cli\u00ebnt en Skarp Law zijn gehouden tot geheimhouding omtrent de opdracht en hetgeen daarmee samenhangt en hetgeen waarvan zij uit hoofde van die opdracht kennisneemt. Zowel Skarp Law als de cli\u00ebnt zullen redelijke maatregelen treffen teneinde te bevorderen dat aan Skarp Law verbonden personen eveneens geheimhouding betrachten.<\/li>
            2. The aforementioned confidentiality obligation does not apply in the event that there is a legal obligation to disclose or a binding court order or a binding request from a government body, to the extent disclosure is necessary for instituting or the defense against any claim between Skarp Law and the client in connection with the assignment, or to the extent that in Skarp Law’s opinion disclosure is desirable for the performance of the assignment.<\/li>
            3. Skarp Law is gehouden alle dossiers en andere gegevensdragers waarover hij beschikt uit hoofde van de opdracht, gedurende de wettelijke termijn bewaren, waarna het zonder mededeling zal worden vernietigd. Van justiti\u00eble autoriteiten ontvangen processtukken worden onverwijld na be\u00ebindiging van de zaak hetzij aan de autoriteit geretourneerd hetzij vernietigd.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
              \n\t\t\t\t
              \n\t\t\t\t\t

              7. Be\u00ebindiging van de opdracht <\/h4>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
              \n\t\t\t\t
              \n\t\t\t\t\t\t\t\t\t
              1. Het staat de cli\u00ebnt vrij de opdracht op ieder gewenst moment te be\u00ebindigen door dit middels een schriftelijke mededeling kenbaar te maken aan Skarp Law.<\/li>
              2. Skarp Law kan de opdracht eveneens schriftelijk be\u00ebindigen met inachtneming van een termijn van 7 dagen. Bij niet of niet tijdig voldoen van de declaratie, kan een opdracht met onmiddellijke ingang schriftelijk worden be\u00ebindigd.<\/li>
              3. Bij be\u00ebindiging van de opdracht is cli\u00ebnt honorarium verschuldigd voor het werk verricht voor het einde en eventuele noodzakelijke werkzaamheden ter deugdelijke overdracht van de zaak aan cli\u00ebnt of een derde.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
                \n\t\t\t\t
                \n\t\t\t\t\t

                8. Toepasselijk recht en geschillen <\/h4>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
                \n\t\t\t\t
                \n\t\t\t\t\t\t\t\t\t
                  1. Op de rechtsverhouding tussen Skarp Law en de cli\u00ebnt is Nederlands recht van toepassing. Uitsluitend de Nederlandse rechter is bevoegd van enig geschil tussen Skarp Law en cli\u00ebnt kennis te nemen. Geschillen zullen uitsluitend worden beslecht door de Rechtbank te Amsterdam.<\/li>
                  2. The provision set out above under 8.1 also applies to non-contractual obligations of persons associated with Skarp Law arising out of or in connection with the assignment agreement. This provision is an irrevocable third-party clause for no consideration for the benefit of each person associated with Skarp Law.<\/li>

                    \n\t\t\t\t\t

                    9. Persoonsgegevens<\/h4>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
                    \n\t\t\t\t
                    \n\t\t\t\t\t\t\t\t\t
                    1. Skarp Law respecteert de privacy en verwerkt persoonsgegevens in de hoedanigheid van verwerkingsverantwoordelijke conform de Europese Algemene Verordening Gegevensbescherming (de \u201cAVG\u201d). De privacyverklaring treft u aan op de website.<\/li>
                    2. The client indemnifies Skarp Law and persons associated with Skarp Law against, and holds them harmless from, any third-party claims and other damages (including the costs of legal assistance) suffered by Skarp Law and persons associated with Skarp Law in connection with any alleged unlawful processing of personal data received in the context of an assignment.<\/li>
                    3. Ieder van de partijen informeert de ander zo spoedig mogelijk zodra hij kennis heeft genomen van een inbreuk in verband met de verwerking van persoonsgegevens in het kader van de opdracht. Voor het doen van eventuele meldingen hiervan aan toezichthouders overleggen partijen met elkaar.<\/li>
                    4. Ieder van de partijen informeert de ander zo spoedig mogelijk wanneer hij kennis heeft genomen van een onderzoek van de toezichthouder in verband met persoonsgegevens die in het kader van de opdracht worden verwerkt.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t
